QUARTER CENTURY WIRELESS ASSOCIATION INC.

Nothing in these By-laws shall be so construed as to conflict with the Constitution and By-laws of the Quarter Century Wireless Association, Inc.

  1. NAME AND PURPOSE

The name of this Association shall be the Gilbert L. Crossley, Central Pennsylvania Chapter of the Quarter Century Wireless Association.

The purpose of this Association shall be to foster and develop friendship and cooperation among Amateur Radio operators of 25 or more years standing, to promote fellowship between all radio amateurs, and to operate exclusively for charitable, educational and scientific purposes in accordance with the polices of the International QCWA organization.

  1. MEMBERSHIP

  1. Regular membership in the Gilbert L. Crossley Chapter shall be open to any member in good standing of the Quarter Century Wireless Association, Inc.
  2. The procedure for applying for membership shall be established by the Executive Board (elected officers), subject to modification by vote at any called meeting.
  3. A licensed Amateur Radio operator with less than 25 years’ standing can become an Associate member of the Gilbert L. Crossley Chapter. When an Associate member reaches 25 years’ standing, the Associate member must join the Quarter Century Wireless Association, Inc. and become a full member of the Gilbert L. Crossley Chapter. Associate members do not have the right to vote. Associate member dues are set at one half the rate for full members.

  1. OFFICERS

  1. There shall be a President, Vice-President, Secretary, Treasurer, and Communications/Web-Master. The term of office shall be two years. Said officers shall comprise the Executive Board.
  2. The President shall preside over all meetings. He shall name such committees as the membership or officers shall direct. In the absence of the President, the Vice-President shall act.
  3. The Secretary shall keep records, attend to Official correspondence with QCWA Headquarters, send Chapter notices and keep the records of the Chapter membership. The Treasurer shall have custody of the Chapter funds, keep accurate books of account, and pay all ordinary bills and expenses.
  4. The officers shall perform such duties as may from time to time be delegated to them by the members and, in addition, shall have a general power to act for the Chapter between meetings. They shall have the power to fill any vacancy until the next called meeting of the members. The officers may authorize additional expenses.
  5. The officers shall serve as a nominating committee, or the membership may elect a nominating committee. The committee’s report shall be included in the notice of the bi-annual election meeting. Any three members may submit additional nominations provided the names are in the hands of the Secretary at least one month before the election meeting. Nominations will not be accepted from the floor at the election meeting. Permission shall be obtained from the nominee prior to presentation of the name.

  1. MEETINGS AND NOTICES

  1. A quorum shall consist of five full members, at least one of whom is an officer. Notices of any business meeting shall be mailed or EMailed to members at least 15 calendar days before any scheduled meeting.
  2. Vote of the majority of the members present shall be sufficient for the conduct of ordinary business.
  3. The By-laws may amended by a vote of two-thirds of the members present in accordance with section eight.
  4. A bi-annual meeting, at which officers shall be installed, shall be held in the fall of even numbered years at a time and place as approved by the officers. Other meetings may be held from time to time as voted by the members or officers.
  5. All meetings will be governed by Robert’s Rules of Order.

  1. DUES

  1. Dues shall be $10.00 per year for Full members and $5.00 per year for Associate members, payable upon application and on January one. The members may vote at any regular meeting to change the annual dues, and may levy assessments for special purposes. When two or more members of a family live at the same address, and one is a full Chapter member, the Chapter will accept $15 per annum as a family rate. If sent by US mail, one mailing, addressed to the family shall suffice with the exception of mailed paper ballots. Mailed ballots shall be sent to each full member. All full members are eligible to vote regardless of family or individual member status.

  1. AUDIT

The accounts of the Treasurer shall be audited annually by a committee to be appointed by the President and always at the end of the term of the Treasurer.

  1. BALLOT BY MAIL

The Officers may submit to the membership any matter requiring prompt attention for ballot by mail.

  1. AMENDMENTS TO BY-LAWS

These By-laws may be amended at any time by a two-thirds (2/3) majority vote of the full members present at any regular meeting, after the proposed changes have been published to the membership via EMail at least 15 days prior to the meeting.
